CONTRACT PROCEDURE
1. Buyer issue ICPO
2. Seller issues the draft SPA in word format with draft ATSIGHT L/C Verbiage along with draft
3. Bank of Reference for Buyer review and comments and confirmation of draft ATSIGHT L/C verbiage with its bank. Within 5 (five) working days Buyer sends the SPA back to the seller electronically signed and company stamp along with Bank of Reference letter.
4. After the SPA is signed by both parties, The SPA will be submitted to their respective banks by both Seller and Buyer.
5. The Buyer bank shall issue the draft of LC to be verified and reconfirm by Seller’s bank.
6. Upon the receipt and confirmation of the draft of LC by Seller bank; Buyer or its Representative allowed to visit the site of the mine with stockpile of coal, Jetty and the Port with prior arrangement. Additionally, Buyer recommended to hire Independent Surveyor to conduct Sampling Report at stockpile.
7. Upon receipt Report Analysis of sampling by Independent Surveyor, and buyer accepted the result of quality, then Seller shall issue:
A. A final Shipping Schedule to Buyer for Buyer to sign/seal and return within 48 hours.
B. A Proforma Invoice. Buyer signs/seals and returns Proforma Invoice within 48 hours to Seller
8. The Buyer bank shall activated the LC to the account of Seller within 1-2 working days as per bank to bank protocol.
9. Seller bank shall issued 2% performance bond in the same day of the buyer’s LC activated.
10. Buyer appoints its Shipping Company / Agent and notifies Seller of all relevant details of the Shipping Company / Agent and Vessel etc. for coordination of loading schedule and preparation with Seller’s Operations Team.
11. Seller commences logistic preparation and loading the goods into the Vessel at Loading Port. Buyer is notified after vessel is loaded and clearance done on the loading port, Seller issues Bill of Lading (BL), Independent Surveyor Q&Q Report, Proof of Product, Supplier’s exportation documents and other Shipping documentations to Buyer.
12. Successive monthly contractual Payment terms of At Sight (UPAS) Letter of Credit (L/C) MT700 Irrevocable and Non Transferable and 2% performance bond of Trial Shipment and Monthly contractual quantity and delivery continues on a rolling basis per schedule during contract, with above procedures.
